Preamble Whereas the First Party holds and has the capabilities to provide the necessary services to the Umrah Pilgrims and the visitors of the Prophet s Mosque, subject to the conditions and specifications defined by the official entities in Saudi Arabia and is licensed to perform these services, and whereas the Second Party is officially licensed and fulfills all the conditions required by the official authorities in the Umrah pilgrim country of origin to organize the Travel, Tourism, Umrah trips and visits to Saudi Arabia, and the Second Party has the wish and capability to market and sell the services of the first party in his country / territory. Accurately and in full discipline for achieving the number targeted by the First Party in his country / territory.. during the whole Umrah season from the pilgrim wishing to perform Umrah and visit to the prophet s Mosque (Visit) after reviewing the individual and group programs for Umrah services and the visit to the Prophet s Mosque, In addition to the terms, conditions and regulations of visa issuance, booking, marketing and sales issued by the First Party. Whereas the two parties wish that this relation shall be consistent with the requirements and needs of organizing the Umrah pilgrims and visits subject to the decree of the Saudi Arabian Ministers Cabinet number (93) dated 10/6/ 1420 H and its executive rules issued by the ministerial decree number 197/K/M dated 21/12/1420 H and to give effect to the regulations of article twenty one from the executive rules, it has been agreed between the two parties as follows : Article One : Preamble The above preamble and the general contract annex shall form an integral and complementing part of this contract. مقدمة في حين أن الطرف األول يمتلك ولديه القدرة على توفير الخدمات الالزمة لحجاج العمرة وزوار المسجد النبوي وفق ا للشروط والمواصفات المحددة من قبل الجهات الرسمية في المملكة العربية السعودية ومرخص لها بأداء هذه الخدمات وحيث الطرف الثاني مرخص رسمي ا ويستوفي جميع الشروط المطلوبة من قبل السلطات الرسمية في بلد المنشأ للحج والعمرة لتنظيم السفر والسياحة ورحالت العمرة والزيارات إلى المملكة العربية السعودية والطرف الثاني لديه الرغبة والقدرة على التسويق و بيع خدمات الطرف األول في بلده / إقليمه... بدقة وفي االنضباط الكامل لتحقيق العدد المستهدف من قبل الطرف األول في بلده / إقليمه... خالل موسم العمرة كله من الحاج الراغب في أداء العمرة وزيارة المسجد النبوي )الزيارة( بعد مراجعة الفرد وبرامج جماعية لخدمات العمرة وزيارة المسجد النبوي باإلضافة إلى شروط وأحكام وأنظمة إصدار التأشيرات والحجز والتسويق والمبيعات الصادرة عن الطرف األول. حيث يرغب الطرفان في أن تكون هذه العالقة متوافقة مع متطلبات واحتياجات تنظيم الحجاج العمرة والزيارات الخاضعة لمرسوم مجلس الوزراء وزراء المملكة العربية السعودية رقم )93( تاريخ 1420/6/10 ه والقواعد التنفيذية الصادرة عن مرسوم وز/ م مؤرخ في 1420/12/21 ه وتنفيذ الالئحة التنفيذية للمادة الحادية والعشرين من الالئحة التنفيذية تم االتفاق عليه بين الطرفين على النحو التالي: 4

Article Two: Definitions In this Agreement including its recitals, the following meanings, unless otherwise required by the text, while Words importing the singular number shall include the plural and the singular, as otherwise required by the text and vice versa. 1- Kingdom: Kingdom of Saudi Arabia. 2- Umrah Pilgrims: People coming from outside Saudi Arabia to perform the Umrah and to visit the Prophet Mosque. 3- Pilgrims Country: the country from which the pilgrim has travelled. 4- Licensed: Any entity, whether Saudi Company or Association, of whatever legal form, licensed to perform the pilgrims service in Saudi Arabia (First Party herein). 5- First Party: UMRAH VISA SERVICES EST. For Umrah Services. License number (.) dated.. 6- External Agent: Any entity, whether authority, office or travel company officially licensed in the other countries to perform the activity to travel trips organizing (Second Party herein) 7- The Second Party: The overseas agent of company in the City of., Country of 8- Organizing: Organizing the services of the Umrah Pilgrims and the visitors of the Prophet Mosque coming from outside Saudi Arabia as issued according to the Ministers Cabinet Decree number (93) 10/6/1420 H. المادة األولى: الديباجة تشكل الديباجة أعاله ومرفق العقد العام جزء ا ال يتجزأ ومكمال من هذا العقد. المادة الثانية: التعاريف في هذه االتفاقية بما في ذلك الحيثيات المعاني التالية ما لم يشترط النص خالف ذلك في حين أن الكلمات التي تستورد الرقم المفرد تشمل الجمع والمفرد كما هو مطلوب في النص والعكس بالعكس. المملكة: المملكة العربية السعودية. 1- العمرة الحجاج: الناس القادمين من 2- ألداء السعودية العربية المملكة خارج العمرة وزيارة المسجد النبوي. سافرمنه الحاج. بلد الحجاج: البلدالذي 3-4- مرخص: أي كيان سواء كان شركة أو جمعية سعودية أيا كان شكلها القانوني مرخص ألداء خدمة الحجاج في المملكة العربية السعودية )الطرف األول هنا(. 5 -الطرف األول: مؤسسة عمرة فيزا للخدمات لخدمات العمرة. رقم الترخيص )...(المؤر...... 6- الوكيل: أي جهة سواء كانت سلطة أو مكتب أو شركة سفريات مرخصة رسمي ا في الدول األخرى ألداء النشاط لتنظيم رحالت السفر )الطرف الثاني هنا( 7- الطرف الثاني: وكيل شركة......اري رقم / 197 ك 8- التنظيم: تنظيم خدمات حجاج العمرة وزوار المسجد النبوي القادم من خارج المملكة العربية السعودية وفق ا لقرار مجلس الوزراء رقم )93( 1420/6/10 ه. 5

9- Rule: Executive rule for organizing issued subject to the decree of the Hajj Ministry number (197)/ K/M dated 21/12/1420 H. 10- Ministry: Ministry of Hajj &Umrah in Saudi Arabia. 11- Representative office: The Saudi Arabian Embassy or Consulate in the country of pilgrim. 12- Official Authority in the kingdom: Any Ministry, governmental authority or public institution in the Kingdom. 13- Official Authority in the Pilgrim s country: Any Ministry, governmental authority or public institution in the pilgrim s country. 14- SAMA: Saudi Arabia Monetary Agency. 9- القاعدة: القاعدة التنفيذية للتنظيم الصادر وفق ا لقرار وزارة الحج رقم )197( / ك / م بتاريخ 1420/12/21 ه. 10- الوزارة: وزارة الحج والعمرة في المملكة العربية السعودية. 11- مكتب تمثيلي: العربية السعودية سفارة او قنصلية في بلد الحجاج. 12- السلطة الرسمية في المملكة: أي وزارة أو هيئة حكومية أو مؤسسة عامة في المملكة. 13- السلطة الرسمية في بلد الحاج: أي وزارة أو سلطة حكومية أو مؤسسة عامة في بلد الحاج. 14- مؤسسة النقد العربي السعودي: مؤسسة النقد العربي السعودي. Article Three: Conditions of obtaining visa from the representative office Whereas the pilgrim s or visitor s obtaining of visa from the representative office is performed through the second party subject to the conditions of article seventeen from the executive rule of Umrah, the Second Party shall be required to present the request to the representative office after ensuring the fulfillment of the following conditions: 1- Provision of the health conditions required by the Ministry of Health in the Kingdom. 2- Provision of valid passport to travel to the kingdom. 3- Round trip confirmed tickets from the country المادة الثالثة: شروط الحصول على التأشيرة من المكتب التمثيلي في حين أن الحصول على تأشيرة دخول الحاج أو الزائر من مكتب تمثيلي يتم من خالل الطرف الثاني وفق ا للشروط الواردة في المادة السابعة عشرة من القاعدة التنفيذية للعمرة يتعين على الطرف الثاني تقديم الطلب إلى مكتب التمثيل بعد التأكد من الوفاء من الشروط التالية: 1- توفير الشروط الصحية التي تتطلبها وزارة الصحة بالمملكة. 2- توفير جواز سفر ساري المفعول للسفر إلى المملكة. 3- تذاكر مؤكدة ذهابا وإيابا من بلد الحاج إلى المملكة سواء كانت رحالت فردية أو جماعية. 6

Article Four: Regulations related to services provision المادة الرابعة: بتقديم الخدمات اللوائح المتعلقة 1- Both parties shall abide by the instructions and regulations of the Umrah services, especially those related to services provision. 2- Both parties shall abide by their assigned works as defined by the rules, laws and regulations without overlapping in roles. 3- The second party shall not be allowed to provide any services in the Kingdom. 4- The second party shall abide by all the programs presented by the first party and may not change them except with the first party s approval. 5- The overseas Umrah pilgrims shall be accommodated in the hotels and housing units categorized and licensed by the concerned authorities. 6- The second party shall abide by sending the Umrah pilgrims arrival and departure dates with informing the reception company in يلتزم الطرفان بتعليمات وأنظمة خدمات 1- بتوفير المتعلقة تلك خاصة العمرة الخدمات. يلتزم الطرفان بالمصنفات المسندة - 2 إليهما على النحو المحدد في القواعد في التداخل دون واللوائح والقوانين األدوار ال يجوز للطرف الثاني تقديم أي خدمات 3- في المملكة. يلتزم الطرف الثاني بجميع البرامج 4- المقدمة من الطرف األول و ال يجوز تغييرها إال بموافقة الطرف األول. - 5 يقيم حجاج العمرة في الخارج في الفنادق والوحدات السكنية المصنفة والمرخصة من قبل الجهات المعنية. 6- يلتزم الطرف الثاني بإرسال تواريخ وصول ومغادرة الحجاج بإبالغ شركة االستقبال من أجل توفير وسائل النقل كما هو مخطط لها من خالل النظام 7

2. Article Five: Regulations related to the overseas agent as issued from the Ministry of Hajj and Umrah 1- The second party, located in any country around the world, shall be an authenticated member in IATA for issuing airline tickets, while no overseas agent shall be approved except after showing his IATA membership. 2- The last date to approve the overseas agent contracts shall be the end of Jumada al- Thani of each HIjri Year or as defined by the ministry. Any requests exceeding the date shall not be accepted. 3- The second party shall work on balancing the arrival of Pilgrims around the Umrah season without overcrowding them during the months of Shabaan and Ramadan. 4- To refrain from authenticating or renewal of any overseas agents who were reported with 1% or more absence in the previous year (while the minimum number of total Umrah pilgrims may not be less than one hundred). 5- The First Party may liquidated the Bank Guarantee issued by the Second Party for his own benefit to secure and purchase return tickets for the absent pilgrims to their countries whenever it is proved that they were contracted with through this agent and the expiration of their tickets. 6- Full abidance by the capacity of the marine means of transportation according to the approved certificate without any increase, in case of transporting the pilgrims by sea, with bearing all responsibilities and penalties resulting there from. اللوائح الخامسة: المادة المتعلقةبالوكيل الخارجي الصادرة من وزارة الحج والعمرة يجب أن يكون الطرف الثاني الموجود 1- معتمد ا في في أي بلد حول العالم عضو ا اتحاد النقل الجوي الدولي إلصدار تذاكر الطيران بينما لن يتم اعتماد أي وكيل خارجي إال بعد إظهار عضويته في االتحاد الدولي للنقل الجوي. آخر موعد للموافقة على عقود الوكالء 2- الخارجيين هو نهاية جمعة آل ثاني من كل عام هجري أو على النحو الذي تحدده تتجاوز طلبات أي تقبل ال الوزارة. التاريخ. 3- يعمل الطرف الثاني على تحقيق التوازن بين وصول الحجاج في جميع أنحاء موسم العمرةدوناكتظاظهم خاللشهري شعبان ورمضان. 4- االمتناع عن مصادقة أو تجديد أي وكالء في الخارج تم اإلبالغ عنهم بنسبة 1 أو أكثر في السنة السابقة )في حين أن الحد األدنى لعدد حجاج العمرة ال يقل عن مائة(. - 5 يجوز للطرف األول تصفية الضمان البنكي الصادر عن الطرف الثاني لمصلحته الخاصة لتأمين وشراء تذاكر العودة للحجاج الغائبين إلى بلدانهم كلما ثبت أنهم تم التعاقد معهم من خالل هذا الوكيل وانتهاء صالحية تذاكرهم.. 6.االلتزام التام بقدرة وسائل النقل البحرية وفق الشهادة المعتمدة دون أي زيادة 8

7- Full abidance by the fares of the program package presented by the first party with abiding by the cancellation and change mechanisms attached to such fares. 8- The two parties relation shall not expire hereunder unless after the second party obtains final written clearance from the First Party at the end of the season, and the overseas agent shall not make contracts except after obtaining the clearance from the first party 9- If any pilgrim shall be delayed, the Saudi company shall have the right to apply the sanctions list issued from the concerned authorities. 10- The second party shall provide final unconditioned bank guarantee from one of the banks approved in his country and accepted by SAMA to the benefit of the First Party with an amount of 200.000 Saudi Riyals (two hundred thousand Saudi Riyals) as a minimum and this guarantee shall stay valid throughout the term of contract and shall be renewed with the renewal of contract term. The second party represents to amend the guarantee value or a number of its articles if any instructions shall be issued from the concerned authorities in Saudi Arabia in this regard. 11- In case of any absence case / cases from the pilgrims of the second party, the Saudi Company shall have the right to request liquidating the bank guarantee without any referral or permission of the overseas agent. To be transferred to the procedures article. حالة نقل الحجاج عن طريق البحر مع تحمل جميع المسؤولياتوالعقوبات الناتجةعن ذلك. 7- االلتزام الكامل بأجور باقة البرنامج المقدمة من الطرف األول بااللتزام بآليات اإللغاء والتغيير المرتبطة بهذه األسعار. 8- ال تنتهي عالقة الطرفين بموجب هذا القانون إال بعد حصول الطرف الثاني على تصريح خطي نهائي من الطرف األول في نهاية الموسم وال يجوز للعميل األجنبي إبرام العقود إال بعد الحصول على تصريح من الطرف األول. 9- في حالة تأخر أي حاج يكون للشركة السعودية الحق في تطبيق قائمة العقوبات الصادرة من الجهات المختصة. 10- على الطرف الثاني تقديم ضمان بنكي نهائي غير مشروط من أحد البنوك المعتمدة في بلده وقبلته مؤسسة النقد العربي السعودي لصالح الطرف األول بمبلغ 200.000 لاير سعودي )مائتي ألف لاير سعودي( كحد أدنى وهذا يبقى الضمان ساري المفعول طوال مدة العقد ويجدد مع تجديد مدة العقد. يمثل الطرف الثاني تعديل قيمة الضمان أو عدد من مواده إذا صدرت أي تعليمات من الجهات المعنية في المملكة العربية السعودية في هذا الصدد. 11- في حالة وجود أي حالة / حاالت غياب من حجاج الطرف الثاني يحق للشركة السعودية طلب تصفية الضمان المصرفي دون أي إحالة أو إذن من الوكيل الخارجي. ليتم نقلها إلى اإلجراءات المادة 9

Article Six : Cancellation or lowering booking penalties Whereas the booking of housing and means of transportation require the First Party to bear cash amounts or penalties to be submitted in case of the absence or delay of the pilgrim, thus the First Party has the right to apply the cancellation or lowering booking penalties on the Second Party as follows: 1- During the low season (before Ramadan): A- To apply cancellation or booking lowering penalty by (80%) from the total value of agreed services in case of the cancellation or lowering the pilgrims numbers less than (21) days prior to the agreed date of arrival. B- To apply cancellation or booking lowering penalty by (100%) from the total value of agreed services contract in case of the cancellation or lowering of the pilgrims number before (21) days or less prior to the agreed date of arrival. 2- During the other seasons (Ramadan): The second party shall be required to pay cancellation penalty equal to 100% from the total agreed services contract value in case of the cancellation or lowering of pilgrims numbers 30 days prior to the agreed date of arrival or less, and the second party shall transfer the liabilities of this to the pilgrim in the contract entered with him. المادة السادسة: اإللغاء أو تخفيض غرامات الحجز في حين أن حجز السكن ووسائل النقل يتطلب من الطرف األول أن يتحمل مبالغ نقدية أو غرامات يتم تقديمها في حالة غياب الحجاج أو تأخيره فإن للطرف األول الحق في تطبيق إلغاء الحجز أو تخفيض عقوبات الحجز على الطرف الثاني على النحو التالي: 1- خالل الموسم المنخفض )قبل رمضان(: أ- تطبيق عقوبة إلغاء الحجز أو حجزها بنسبة )80 ( من القيمة اإلجمالية للخدمات المتفق عليها في حالة اإللغاء أو خفض أعداد الحجاج قبل )21( يوم ا من تاريخ الوصول المتفق عليه. ب- تطبيق عقوبة إلغاء الحجز أو حجزها بنسبة )100 ( من القيمة اإلجمالية لعقد الخدمات المتفق عليه في حالة إلغاء أو تخفيض رقم الحجاج قبل )21( يوم ا أو أقل قبل تاريخ الوصول المتفق عليه. 2- خالل الفصول األخرى )رمضان(: يتعين على الطرف الثاني دفع غرامة إلغاء بنسبة 100 من إجمالي قيمة عقد الخدمات المتفق عليها في حالة إلغاء أو تخفيض أعداد الحجاج قبل 30 يوم ا من تاريخ الوصول المتفق عليه أو أقل وعلى الطرف الثاني تحويل التزامات هذا على الحاج في العقد المبرم معه. 10

Article Seven: Regulations related to issuing visas from the Ministry 1- Applying the grouping of visas issued from the ministry on partial groups from the beginning of Umrah season, with putting the 2- following into consideration:- A- Temporarily suspending the automated visa issuing system by the ministry from any overseas agent if the automated monitoring system will report that (1%)of the number of pilgrims presented by this agent has been delayed, until their departure (the minimum number of total pilgrims may not be less than 100). B- Temporarily suspending the automated visa issuing system by the ministry from any Saudi company or institution in any country around the world if the automated monitoring system will report that (1%) from the number of pilgrims presented by this company or association has been delayed until their departure (the minimum number of total pilgrims may not be less than 100). C- Suspending the automated visa issuing system by the ministry if it was reported that the second party hasn t issued any visas 30 days (thirty days one month) after the start of his activation on the system. D- Temporarily suspending the automated visa issuing system by the ministry if it was reported that the number of arrivals through these visas is less than 50% of the number of visas issued (issued since thirty days) for each overseas agent, until they actually arrive (the minimum number of total pilgrims may not be less than 100) لمادة السابعة: اللوائح المتعلقة بإصدار التأشيرات من الوزارة 1- تطبيق تجميع التأشيرات الصادرة من الوزارة على المجموعات الجزئية من بداية موسم العمرة مع مراعاة ما يلي: أ- تعليق مؤقت لنظام إصدار التأشيرات اآللي من قبل الوزارة من أي وكيل خارجي إذا أبلغ نظام المراقبة اآللي عن )1 ( من عدد تم تأخير الحجاج المقدمين من هذا الوكيل حتى مغادرتهم )الحد األدنى لعدد الحجاج قد ال يقل عن 100(. ب- تعليق الوزارة مؤقتا لنظام إصدار التأشيرات اآللي من أي شركة أو مؤسسة سعودية في أي دولة حول العالم إذا أبلغ نظام المراقبة اآللي أنه قد تأخر )1 ( من عدد الحجاج المقدمين من هذه الشركة أو المؤسسة. حتى مغادرتهم )الحد األدنى لعدد الحجاج قد ال يقل عن 100(. ج- تعليق نظام إصدار التأشيرات اآللي من قبل الوزارة إذا أبلغ أن الطرف الثاني لم يصدر أي تأشيرات لمدة 30 يوم ا )ثالثون يوم ا-شهرواحد( بعدبدء تفعيله على النظام. د- تعليق مؤقت لنظام إصدار التأشيرات اآللي من قبل الوزارة إذا قيل إن عدد الوافدين من خالل هذه التأشيرات أقل من 50 من عدد التأشيرات الصادرة )الصادرة منذ ثالثين يوم ا( لكل وكيل خارجي حتى يصلوا فعلي ا )الحد األدنى لعدد الحجاج قد ال يقل عن 100( 11

E- The second party shall abide by presenting clear operational plan for the number of pilgrims contracting with him during the season. F- If the residency of the pilgrims shall exceed the Umrah program term and delayed from return, thus the number of the delayed pilgrims will exceed the percentage set by the ministry for overseas agent, country or Saudi Umrah Company, then the automated visa issuing system shall be temporarily suspended until they leave or their programs are extended for thirty days maximum with the approval of the First Party. G- To abide by the production capacity of issuing visas from the kingdom representative offices from the various countries around the world and not claim any exceeding of such capacity. H- To abide by the execution of the ministry instruction related to the marketing of the Umrah pilgrims program, booking for the actual pilgrims and their return according to the program and shall abide by issued rules and circulars. Article Eight: General Regulation ه- يلتزم الطرف الثاني بتقديم خطة تشغيلية واضحة لعدد الحجاج المتعاقدين معه خالل الموسم. و- إذا تجاوزت إقامة الحجاج مدة برنامج العمرة وتأخرت في العودة فإن عدد الحجاج المتأخرين سيتعدى النسبة المئوية التي تحددها الوزارة للوكيل األجنبي أو البلد أو شركة العمرة السعودية ثم نظام إصدار التأشيرة اآللي يجب تعليقه مؤقت ا إلى أن يغادروا أو يتم تمديد برامجهم لمدة ثالثين يوم ا كحد أقصى بموافقة الطرف األول. ز- االلتزام بالقدرة اإلنتاجية إلصدار التأشيرات من المكاتب التمثيلية للمملكة من مختلف البلدان في جميع أنحاء العالم وال تدعي أي تتجاوز هذه القدرة. ح- االلتزام بتنفيذ تعليمات الوزارة المتعلقة بتسويق برنامج العمرة للحجوزات حجز الحجاج الفعليين وإعادتهم وفق ا للبرنامج وااللتزام بالقواعد والنشرات الصادرة 1. No Umrah pilgrim shall be full liable for the return of not licensed by law. المادة الثامنة: الالئحة العامة 2. The second party shall be fully liable for the return of the Umrah pilgrim and shall have the right to take all the suitable guarantees subject to his discretion. 1. لن يكون أي حاج العمرة مسؤوال مسؤولية كاملة عن إعادة غير مرخص به بموجب القانون. 2. يتحمل الطرف الثاني المسؤولية الكاملة عن عودة حاج العمرة ويكون له الحق في أخذ جميع الضمانات المناسبة وفق ا لتقديره. 12

3. The second party shall be fully liable for the good selection of the Umrah pilgrim and informing him with al Saudi regulation and instruction. 4. Article Eleven : Overseas Agent Obligation 1-The second party shall be liable for the following expenses immediately after receiving the invoice of the first party A. Penalties imposed by the passport control department or any other official authority in Saudi Arabia. D. The expenses of transferring the pilgrim to other companies due to lack of notifying the first party with the arrival of the pilgrim to Saudi Arabia in all the air sea and land ports. 2. The second party is obliged to purchase the services package provided by the first party. 3. The second party should feed the Umrah automatic system with his communication dada ( mobile numberemail) to enable the Umrah corporate affairs department in the ministry to communicate with him directly and to ensure the he has received all the regulation and instruction directly. 4. The second party commits to appoint a supervisor for every group of pilgrim with providing the first party with the name of the supervisor and his mobile number. The supervisor shall keep all the passports of the pilgrim and shall deliver them to the Saudi company and he shall not be allowed to leave before the departure of the last pilgrim in the group. 5. The second party shall be fully liable for the responsibilities and damages resulting from reaching the absence and delay parentage defined by the ministry regulation for this year, thus resulting in issuing the ministry decree to suspend the system for the other agents. المادة الحادية عشرة: التزام الوكيل الخارجي 1- يكون الطرف الثاني مسؤوال عن النفقات التالية فور استالم فاتورة الطرف األول أ. جميع المصاريف الناتجة عن تأخير أو ب. غياب الحجاج بما في ذلك تذكرة اإلقامة وتذكرة السفر في حالة انتهاء صالحيتها. العقوبات التي تفرضها وزارة الحج. العقوبات التي تفرضها إدارة مراقبة الجوازات أو أي جهة رسمية أخرى في المملكة العربية السعودية. مصاريف نقل الحجاج إلى غيره الشركات بسبب عدم إخطار الطرف األول بوصول الحاج إلى المملكة العربية السعودية في جميع الجو والبحر. 2. الطرف الثاني ملزم بشراء حزمة الخدمات المقدمة من قبل الطرف األول. 3. يجب على الطرف الثاني إطعام نظام العمرة األوتوماتيكي مع دادا التواصل )رقم الهاتف المحمول - البريد اإللكتروني( لتمكين إدارة شئون العمرة في الوزارة من التواصل معه مباشرة والتأكد من حصوله على جميع التعليمات والتعليمات بشكل مباشر. 4. يلتزم الطرف الثاني بتعيين مشرف لكل مجموعة من الحجاج مع تزويد الطرف األول باسم المشرف ورقم هاتفه المحمول. يحتفظ المشرف بجميع جوازات سفر الحجاج ويسلمها للشركة السعودية وال يجوز له المغادرة قبل مغادرة آخر حاج في المجموعة. 5. يتحمل الطرف الثاني المسؤولية الكاملة عن المسؤوليات واألضرار الناتجة عن الوصول إلى غياب التأخير والنسب المحددة في الئحة 15

The second party shall be fully responsible for the date of the pilgrim entered in the automated system through his username; accordingly, he shall bear the consequences of giving his username and password to any person other than the responsible employee. 15. The second party shall sign a contract with every pilgrim that includes the detail of the program and the condition agreed upon with the first party, in order to make the pilgrim fully informed with all the details of the program before arriving to the kingdom, with delivering a copy of the contract to the pilgrim and to send copy to the Saudi company before the arrival of the pilgrims. The second party is committed not to give the pilgrims any promises not consisting with the actual agreed program, in case of violating this article, the Saudi company may have the right to apply the reasonable penalties and fines on the second party. 16. The second party shall provide confirmed round trip booking to the pilgrims on the scheduled airline flights. if the second party violates this article, he shall be fined with any expenses related to the booking and accommodation during the delay periods besides any additional costs. 17. The second party shall abide by grouping the pilgrims according to the timing of pilgrims entrance and leaving of the hotels legally, accordingly, calculating the actual nights of entrance and leaving of hotels, and the second party shall bear the financial consequence of the dates and timing differences. إذا كان الحجاج لن يستفيد من أي جزء من البرنامج فلن يكون له الحق في المطالبة باسترداد أو أي جزء منه والحاج ال يجوز تغيير أي طرف في البرنامج إال بموافقة خطية من الطرف األول وفي حالة انتهاكه يجوز للشركة السعودية اتخاذ اإلجراءات الالزمة. 12. يلتزم الطرف الثاني تمام ا بإدخال تواريخ الوصول الفعلية للحاج في النظام التلقائي عند تشكيل المجموعة وعدم إدخال أي تواريخ وهمية في حالة حدوث أي تغيير في حاالت الطوارئ يقوم الطرف الثاني بإبالغ األول مع التغييرات قبل أسبوع واحد على األقل من وصول الحاج إلى المملكة العربية السعودية ويتحمل جميع العواقب المعنوية والمالية واإلدارية للتغيير. 13. يقوم الطرف الثاني باختيار المدة الفعلية لبرامج الحجاج من النظام اآللي إلصدار التأشيرات تمشيا مع المدة الفعلية للبرنامج. 14. يتحمل الطرف الثاني المسؤولية الكاملة عن تاريخ دخول الحاج في النظام اآللي من خالل اسم المستخدم الخاص به وعليه يتحمل عواقب إعطاء اسم المستخدم وكلمة المرور ألي شخص آخر غير الموظف المسؤول. 15. يقوم الطرف الثاني بتوقيع عقد مع كل حاج يتضمن تفاصيل البرنامج والشرط المتفق عليه مع الطرف األول وذلك لجعل الحجاج على اطالع تام بجميع تفاصيل البرنامج قبل الوصول إلى المملكة بتسليم نسخة من العقد إلى الحاج وإرسال نسخة إلى الشركة السعودية قبل وصول الحجاج. يلتزم الطرف 17

18. The second party shall commit his pilgrim regarding the suitability of the size and weight of the baggage with the agreed means of transportation, whereby the baggage of the pilgrim will not exceed the dedicated place in the means of transportation. The baggage may not be loaded in the places dedicated for the Passengers inside the means of transportation. If the baggage will exceed the capacity of the means of carriage to transport the extra luggage and the Second Party shall bear the value without referring back to him. 19. The Second Party shall ensure that the pilgrims are coming for the purpose of Umrah only and not for medical purposes for vising their relatives or for any other reasons. 20. The Second Party represents that he shall keep the addresses of the pilgrims, visitors or their relatives (if any) during their stay in the kingdom.moreover, the Second Party represents that he shall assist the First Party in case of requesting these addresses to reach them if needed. 21. The Second Party represents that all the programs of the pilgrims and visitors are actual, subject to which they will perform the Umrah and visit rituals, and he also represents that all the return bookings (departure from Saudi Arabia) are confirmed for all the pilgrims. 22. The Second Party represents that if he is informed by the First Party that there is a number of his pilgrims who are absent or didn t leave after the end of their programs, he shall perform the Followings : A. To Provide the First Party within 24 hours from reporting with a copy of the pilgrims ticket, copy of passport and Umrah Visa for each pilgrim. B. To assist the First Party in reporting the locations of the absent pilgrims in order to enable the Ministry to coordinate with the concerned authorities for deporting them. الثاني بعدم إعطاء الحجاج أي وعود ال تتألف من البرنامج الفعلي المتفق عليه في حالة انتهاك هذه المادة قد يكون للشركة السعودية الحق في تطبيق العقوبات والغرامات المعقولة على الطرف الثاني. 16. يقدم الطرف الثاني حجز ا ذهاب ا وإياب ا مؤكد ا للحجاج على رحالت الخطوط الجوية المجدولة. إذا انتهك الطرف الثاني هذه المادة يتم تغريمه بأية مصاريف تتعلق بالحجز واإلقامة خالل فترات التأخير باإلضافة إلى أي تكاليف إضافية. 17. يلتزم الطرف الثاني بتجميع الحجاج وفق ا لتوقيت دخول الحجاج ومغادرة الفنادق قانون ا وبناء على ذلك يتم حساب الليالي الفعلية لدخول الفنادق ومغادرتها ويتحمل الطرف الثاني التبعات المالية للتواريخ. وتوقيت االختالفات. 18. يلتزم الطرف الثاني بحاجه فيما يتعلق بمدى مالءمة حجم ووزن األمتعة مع وسائل النقل المتفق عليها بحيث ال تتجاوز أمتعة الحاج المكان المخصص في وسائل النقل. ال يجوز تحميل األمتعة في األماكن المخصصة للركاب داخل وسائل النقل. إذا كانت األمتعة تتجاوز سعة وسيلة النقل لنقل األمتعة اإلضافية يتحمل الطرف الثاني القيمة دون الرجوع إليه. 19. يجب على الطرف الثاني التأكد من أن الحجاج يأتون لغرض العمرة فقط وليس لألغراض الطبية لزيارة أقاربهم أو ألي أسباب أخرى. 20. يمثل الطرف الثاني أنه يحتفظ بعناوين الحجاج أو الزوار أو أقاربهم )إن وجد( أثناء إقامتهم في المملكة. وعالوة على ذلك فإن الطرف الثاني يشير إلى أنه يجب عليه مساعدة الطرف األول في حال طلب هذه 18

23. Refrain from staying in the kingdom with or without salary. العناوين. للوصول إليهم إذا لزم األمر. 21- يمثل الطرف الثاني أن جميع برامج الحجاج والزوار حقيقية ويخضعون ألداء العمرة وطقوس الزيارة كما أنه يؤكد أن جميع حجوزات العودة )المغادرة من المملكة العربية السعودية( مؤكدة لجميع حجاج بيت هللا الحرام. 22- يمثل الطرف الثاني أنه إذا علمه الطرف األول أن هناك عدد ا من حجاجه غائبين أو لم يغادروا بعد انتهاء برامجهم فإنه يقوم بما يلي: أ. تزويد الطرف األول خالل 24 ساعة من اإلبالغ بنسخة من تذكرة الحجاج ونسخة من جواز السفر وتأشيرة العمرة لكل حاج. ب- مساعدة الطرف األول في اإلبالغ عن مواقع الحجاج الغائبين لتمكين الوزارة من التنسيق مع الجهات المعنية لترحيلهم. 23. إذا علم الطرف الثاني أن الحجاج الغائبين إلكترونيا ليسوا غائبين وغادروا المملكة العربية السعودية فإنه يتعين عليه على الفور تزويد الطرف األول بنسخة ملونة واضحة جد ا من صفحة الملف الشخصي من جواز السفر وتأشيرة الحاج مع ختم ختم خروج من المملكة وختم الدخول إلى بلد الحاج مع تفاصيل رحلة المغادرة وبيان الرحلة خالل 24 ساعة من حدوثها لتمكين الشركة السعودية من الرجوع إلى الجهات المعنية وإزالة اسمه. من قائمة الغياب. 24- يعترف الجزء الثاني بأنه في حالة عدم تعاونه في ما تقدم يتحمل وحده أي مخالفات مالية أو غرامات تفرضها السلطات المعنية. 19

The Second Party may not, enter into contracts with any Saudi agent through the subsidiaries or through pseudonyms. المادة الثانية عشرة: عقد الحجاج يجب على الطرف الثاني توقيع عقد مع الحاج يتم فيه دفع جميع المزايا والخدمات المطلوبة والتكاليف التي يدفعها الحاج وفق ا لنوع ومستوى برنامج الخدمة الذي اختاره من قائمة الترقيات وحزمة البرنامج واألسعار. يتم تقديمه من قبل الطرف األول بينه وبين الحاج من أجل إلزام الحاج بنسخة منه ويدخل الطرف الثاني. ويقوم الطرف الثاني بتزويد الطرف األول بنسخة منه ويدرج الطرف الثاني المواد التالية في العقد المبرم بينه وبين الحاج من أجل إجبار الحاج على تنفيذه مصحوبة وصفا مفصال لهذه المواد على النحو التالي: أ. االمتثال للقواعد واللوائح والتعليمات المعمول بها في المملكة العربية السعودية. ب. االلتزام بالمغادرة من المملكة العربية السعودية دون أي تأخير بعد انتهاء مدة البرنامج المحددة كما تم إدخالها في تأشيرته الصادرة عن أداء العمرة والزيارة. االمتناع عن البقاء في المملكة مع أو بدون راتب. االمتناع عن البقاء في المملكة ألداء فريضة الحج ألي سبب من األسباب. ه. القواعد واللوائح المتعلقة بالطرف األول والمتفق عليها في هذا العقد. 20

Article Fourteen: Rate Card The programs rate card shall be defined in a separate contract annex subject to the willingness of both parties. Article Fifteen: Contract Term The term of this contract shall extend for. Article Seventeen: Arbitration If any dispute shall arise, God Forbid, between both parties out of or in connection with the interpretation of any article in this Agreement or due to the financial disputes, it shall be amicably settled. If the amicable agreement can t be reached then it shall be referred for resolution to the Hajj and Umrah National Committee and the resolution issued in this regard shall be binding on both parties. Article Eighteen: Penalties The Second party shall be liable for the following expenses immediately after receiving the invoice of the First Party: 1. Penalties imposed by the Ministry, the Passport Control Department or any other penalties issued المادة الثالثة عشرة: عقود الوكالء الخارجيين 1. ال يجوز للوكيل األجنبي التعاقد مع أي كيان مرخص إال بعد الحصول على تصريح نهائي من العقد األخير مع هذا الكيان. 2. يقر الطرف الثاني بأنه ال يوجد عقد فعلي بينه وبين أي شخص طبيعي أو مؤسسة سواء كانت شركة سعودية أو جمعية مهما كان قانوني ا مرخص ا ألداء خدمات حجاج العمرة في المملكة العربية السعودية. 3. ال يجوز للطرف الثاني طوال مدة هذا العقد بالكامل إبرام عقود مع أي أشخاص طبيعيين أو مؤسسات من أي شكل قانوني مرخص ألداء خدمات حجاج العمرة في المملكة العربية السعودية أو مطالبة الوزارة بالتسجيل أو التصديق مثل هذا العقد مع تعويض الطرف األول عن أي أضرار ناتجة عن انتهاك هذه المادة ومع ذلك يمكن للشركة السعودية مصادقة أكثر من وكيل واحد من نفس بلد الطرف الثاني. 4. ال يجوز للطرف الثاني الدخول في عقود مع أي وكيل سعودي من خالل الشركات التابعة أو من خالل األسماء المستعارة. لمادة الرابعة عشرة: بطاقة السعر يجب تحديد بطاقة معدل البرامج في ملحق عقد منفصل رهنا برغبة الطرفين المادة الخامسة عشرة: مدة العقد تمتد مدة هذا العقد إلى... تبدأ من... 21

The expenses of transferring the pilgrim to other companies due to lack of notifying the First Party with the arrival of the pilgrim to Saudi Arabia in all the air, sea and land ports. 6. Compensation for any damages resulting from the misconduct of the Umrah Pilgrim. Article Nineteen: The Contract Obligation Neither parties can subcontract this contract to any third party to perform all his obligation hereunder. Article Twenty : Observing the Pilgrims Departure The Second Party acknowledges that the departure of the pilgrims and the visitors of the Prophet s Mosque from Saudi Arabia after the expiration of their program shall be performed legally, thus he is hereby obliged to observe his pilgrims and visitors and to ensure their legal departure after the end of their programs, lest they will be considered as absent subject to the Umrah automatic system. If otherwise is proved, then he shall be obliged to inform the First Party. Article Twenty One: Abidance by Ministry s Decisions In case of the issuance of any decree by the Ministry herein, it shall be authenticated and followed during the term of this contract. المادةالسادسةعشرة: توثيق العقود: ال يجب المصادقة على هذا العقد ما لم يتم تسجيله في الوزارة والموافقة عليه رهنا بالشروط الواردة في الفقرة السادسة من المادة الثانية والعشرون من الالئحة التنفيذية للعمرة. المادة السابعة عشرة: التحكيم إذا نشأ أي نزاع ال سمح هللا بين الطرفين من أو فيما يتعلق بتفسير أي مادة في هذه االتفاقية أو بسبب الخالفات المالية يجب تسويتها وديا. إذا لم يتم التوصل إلى اتفاق ودي يجب إحالته إلى لجنة الحج والعمرة الوطنية للقرار ويكون القرار الصادر بهذا الشأن ملزما للطرفين. المادة الثامنة عشرة: العقوبات يكون الطرف الثاني مسؤوال عن المصاريف التالية فور استالم فاتورة الطرف األول: 1. جميع المصاريف الناتجة عن تأخير أو غياب الحجاج عن السفر بما في ذلك اإلقامة وتذكرة السفر وتذكرة السفر في حالة انتهاء صالحيتها. 2. العقوبات التي تفرضها الوزارة أو إدارة مراقبة الجوازات أو أي عقوبات أخرى تصدر من أي جهة رسمية في المملكة العربية السعودية. 3. العقوبات التي يفرضها الطرف األول. المادةالتاسعةعشرة: االلتزام بالعقد ال يمكن ألي من الطرفين التعاقد من الباطن على هذا العقد مع أي طرف ثالث لتنفيذ جميع التزاماته بموجب هذه االتفاقية. 22
