Preamble : Whereas the Customer wishes to trade in shares and financial instruments of companies listed on stock exchanges in Kuwait,Arab region and the world, and also in commodities & currency market in accordance with Islamic Sharia Law. law. Wishes to Appoint appoint KFH MIC Capital as agent as for agent providing for providing him with him with trading, execution, clearing and settlement services. And whereas the Company accepts the appointment for performing the execution, clearing and settlement services for shares traded by the Customer according to the terms and conditions hereinafter set forth. KFH Al-Muthanna Capital Investment Company K.S.C KSC(Closed) shall provide the conditions and the provisions governing the customer's account for trading and apply to all the terms and provisions of this Agreement to all transactions conducted on the trading account or online via the company's website - www.kfhtrade.com or any other channels. 1- Definitions 1-1 The following terms when used in this agreement shall have the meanings set out below: Agreement: this summary, together with application form, general terms and conditions for trading service agreement and appendices. The Customer or the Investor : shall mean every person, natural or juridical who submits a request approved by the Company for opening an trading account. The Authority : The financial markets authority in Kuwait & surroundings shall mean the authority that supervises or regulates and issues the licenses for the financial markets and brokers in the State. 2-1 this agreement shall be interpreted in accordance with the interpretation provisions of general terms and conditions for trading services and appendices. 2. Laws, rules and regulations relating to this Agreement: 2-1 All transactions between the client and the company will be subject to all laws prevailing in the markets (Kuwait - Gulf - Arabic - foreign) on processes that are carried out including all kind of options contracts which does not contradict with Islamic Sharia rules, taking into consideration that dealing with these markets will be through the company directly from the Customer. The company will not be responsible in any way of the conditions to the customer for any action by any authority of any kind. (Government civil or other relevant parties). 2-2 The customer agrees to the terms and provisions of this Agreement, and is used for the web site and / or utilize the services provided by the company in recognition of this progress. 3. Agreement Unity This Agreement shall be regarded as one unified unit and cannot be divided. All terms, conditions, obligations and appendices of this Agreement constitute material obligations binding upon both parties. التمهيد : حيث أان العميل يرغب يف التعامل بتجارة الأ ضهم والأدوات املالية لل ضركات املدرجة يف اأ ضواق الأوراق املالية يف الكويت واملنطقة العربية والعامل وكذلك فى ا ضواق ال ضلع والعمالت طبقا لأحكام ال ضريعة الإ ضالمية. ويرغب بتعيني بتعيني شركة ضركة بيتك املثنى كابيتال لالإ ضتثمار لإلستثمار ب ضفتها بصفتها وكيل له وذلك لتزويده بخدمات التداول والتنفيذ واملقا ضة والت ضوية وحيث اأن ال ضركة وافقت على التعيني للقيام بخدمات التنفيذ واملقا ضة والت ضوية لالأ ضهم التي يتداول بها العميل وفقا للبنود وال ضروط املبينة أادناه. تضع ت ضعشركة ضركة بيتك املثنى كابيتال لال ضتثمار لإلستثمار ص.م.ك ش.م.ك (مقفلة) )مقفلة( ال ضروط والأحكام التي يخ ضع لها ح ضاب العميل للتداول وتنطبق كافة ال ضروط والأحكام الواردة بهذه التفاقية على جميع املعامالت مبا فيها التي تتم على احل ضاب اخلا ص بالتداول عرب الإنرتنت من خالل موقع ال ضركة اللكرتونى www.kfhtrade.com اأو غريها من القنوات التي حتددها ال ضركة. 1- تعريفات 1-1 يكون للكلمات والعبارات التالية أاينما ذكرت يف هذه الإتفاقية املعاين املو ضحة اأدناه: الإتفاقية: وت ضمل هذا امللخ ص لإتفاقية التداول وكذلك منوذج طلب فتح حساب ح ضابوال ضروط والشروط والحكام العامة لإتفاقية التداول وملحقاتها. العميل اأو امل ستثمر: يق ضد به كل ضخ ص طبيعي اأو معنوي تقدم بطلب موافق عليه من قبل ال ضركة لفتح ح ضاب تداول. الهيئة: هيئة اأ ضواق املال بالكويت ويف البلدان املعنية يق ضد بها الهيئة امل ضرفة والتي تقوم بتنظيم واإ ضدار الرخ ص لالأ ضواق املالية والو ضطاء بالدولة. ١-٢ 1-2 تف ضر هذه الإتفاقية وفقا لأحكام التف ضري الواردة يف ال ضروط والحكام العامة لإتفاقية خدمات التداول وملحقاتها. 2- القوانني والأحكام واللوائح املتعلقة بهذه التفاقية: 1-2 اأن إن جميع التعامالت التى تتم بني العميل وال ضركة ضتخ ضع لكافة القوانني ال ضائدة فى الأ ضواق (الكويتية اخلليجية العربية الأجنبية) ب ضاأن العمليات التى تتم بها مبا يف ذلك عقود ال ضلع وعقود اخليارات باأنواعها مبا ل يخالف اأحكام ال ضريعة الإ ضالمية مع الأخذ فى العتبار ان أن التعامل مع تلك الأ ضواق يكون عن طريق ال ضركة ب ضكل مبا ضر من العميل دون ان أن تكون ال ضركة م ضئولة ب أاى حال من الأحوال جتاه العميل عن اى ت ضرف ضادر عن اى جهة ايا أيا كان نوعها. (حكومية اهلية اأو جهات اخرى ذات ضلة). 2-2 يوافق العميل على ضروط واأحكام هذه الإتفاقية ويعترب اإ ضتخدامة للموقع اأوالإ ضتفادة اإلستفادة مبا تقدمة ال ضركة من خدمات اإقرارا منه بذلك. الإلكرتوين و/ 3- وحدة الإتفاقية تعترب هذه الإتفاقية وحدة واحدة ول ميكن جتزئتها ومتثل كافة الحكام وال ضروط واملالحق الإلتزامات يف هذه الإتفاقية وتعد إالتزامات جوهرية يقع على عاتق الطرفني الإلتزام بها. 1
4. Read and Agree to the Terms and Conditions The Customer acknowledges that he has read, familiarized and aware of the content of the terms and provisions of this Agreement and agreed to everything in which he said has received a copy of these Terms and Conditions. 5- Amendment of the Agreement In the event where any changes are made to the existing Exchange Regulations of the Exchange by the Exchange or the Authority, the Company shall have the right to amend the terms and conditions of this Agreement or any special conditions appended hereto to match the amendments made to the Exchange Regulations, and without giving a prior notice thereof to and obtaining the consent of the Customer. Such amendments to the Agreement shall be effective immediately. The Customer realizes that the Company may make any amendments to this Agreement at any time by adding additional terms and conditions to this Agreement and / or cancelling any terms and conditions here from, by stating and giving notice of those amendments and the effective date thereof on the electronic Portal of the Company and giving notice thereof by electronic mail at the electronic mail address provided to the Company. The Customer acknowledges that he shall be bound by those amendments if he uses KFH Trade after the date of making those amendments. In the event where the Customer does agree to any terms and conditions in the amended agreement, he shall notify the Company thereof immediately by letter and immediately discontinue any use of the KFH Trade except for what is necessary for closing his Trading Account. The Customer agrees that any use of the KFH Trade after the introduction of the amendments to this Agreement or the amendments to the Service shall be interpreted as an acceptance by him of the amendments whether he actually was aware of them or not, and, accordingly, he shall be legally bound by those amendments although he has been unable to access the text of this Agreement or the amendments hereto. 6. Entire Agreement, Modifications This Agreement constitutes the entire agreement between the parties regarding this subject matter and supersedes each previous Agreement be- tween KFH MIC Capitaland and customer. customer. Either Either party party may may only only modify this this Agreement agreement in accordance with the provisions of the General Terms and customer. 7. Termination of the Agreement 7-1 The Customer declares that the Company has the right to terminate this Agreement and close the account the Customer at any time at its absolute discretion and notify the Customer thereof in writing or by electronic mail within ten (10) days from the date of terminating the contract. The Customer further declares that it is aware of and knows that, upon the termination of the Agreement, some time may pass before completing the transfer of the Securities contained in the Trading Account belonging to companies listed on the Kuwait Stock Exchange. With regard to securities contained in the Trading Account and belonging to companies listed outside the State of Kuwait, the Customer declares that the Company may freeze the Trading Account of the Customer so that the Customer will only be able to sell those Securities and draw the cash funds resulting from the sale until all those Securities have been sold and the cash funds have been drawn and the Trading Account closed, after deduction of all the fees, expenses and costs and the amounts due to the Customer in addition to any financial claims or penalties incurred by the Company as a result of the instructions given by the Customer. The Customer further declares that the Company will not be liable for any losses, damages, claims or lost opportunities that the Customer may suffer as a result of termination of this Agreement by the Company, transfer of the Securities, freezing of the account or closing of the Customer s Trading Account with Company. 7-2 Clearance : The right of the Company - in the case of a breach of the Customer of any of its obligations under this Agreement - and by its absolute and without prior notice to the client to notify any stock exchange or other market to close and liquidate the account and terminate any agreement with the client and the sale of assets as well as to eliminate any list of orders or contracts or other securities, nor will the customer is then able to reach to the system. There must be enough cash in the account and be ready immediately to pay the Company which would automatically settle all accounts (whether individual accounts or joint) and transactions and any account remaining after full recovery by the Company of their rights must be restored by the Customer, who is accountable to the Company the value of all expenses legal and other professionals. 4- الإطلع واملوافقة على ال سروط والأحكام يقر العميل باأنه قر أا و إاطلع وعلم مبحتوى ضروط واأحكام هذه الإتفاقية ووافق على كل ما جاء فيها وقد ت ضلم ن ضخة من هذه ال ضروط والأحكام. 5- تعديل الإتفاقية يف حالة اإدخال أاية تعديالت على اأنظمة ال ضوق من قبل ال ضوق اأو الهيئة فاإنه يحق لل ضركة تعديل بنود و ضروط هذه الإتفاقية اأو اأي ضروط خا ضة ملحقة بها لتتوافق مع التعديالت التي أادخلت على اأنظمة ال ضوق وبدون اأ ضعار م ضبق للعميل وبدون موافقته وتكون التعديالت على هذه الإتفاقية ضارية املفعول فورا. يدرك العميل ب أانه يجوز لل ضركة اإجراء أاي تعديالت على هذه الإتفاقية يف اأي وقت وذلك باإ ضافة ضروط واأحكام إا ضافية على هذه الإتفاقية و / اأو اإلغاء اأية ضروط واأحكام من هذه الإتفاقية وذلك عن طريق إادخال و إاعالن هذه التعديالت وتاريخ ضريان مفعولها على ال ضفحة اللكرتونية لل ضركة واإ ضعار العميل بذلك عرب الربيد الإلكرتوين الذي زود ال ضركة به. ويقر العميل باأنه ضيكون ملزما بهذه التعديالت اإذا ا ضتخدم خدمة بيتك للتداول بعد التاريخ الفعلي لإجراء التعديالت. و اإذا مل يوافق العميل على اأي من ال ضروط والأحكام يف الإتفاقية املعدلة ف إانه يجب عليه اإخطار ال ضركة فورا بذلك بوا ضطة كتاب خطي و التوقف فورا عن ا ضتخدام بيتك للتداول با ضتثناء ما هو ضروري لإغالق ح ضابه. ويوافق العميل على اأن ا ضتخدام بيتك للتداول بعد التعديالت املدخلة على هذه الإتفاقية اأو التعديالت على اخلدمة تعني قبوله للتعديالت ضواء علم بها فعليا اأم ل و بالتايل فاإنه ضيكون ملزما قانونيا بهذه التعديالت حتى و اإن كان غري قادر على الدخول إاىل ن ص هذه الإتفاقية اأو التعديالت. 6- الإتفاقية الكاملة والتعديلت ت ضكل هذه الإتفاقية كامل الإتفاق الذي مت التو ضل إاليه بني الطرفني املتعاقدين بخ ضو ص هذا املو ضوع وهي بذلك تلغي وحتل حمل اأي أية إاتفاقية إتفاقياتاخرى أخرىابرمت أبرمت بني ضركة شركة بيتك املثنى كابيتال لالإ ضتثمار«لإلستثمار«والعميل. والعميل. 7- إانهاء الإتفاقية 1-7 يقر العميل بحق ال ضركة باإنهاء هذا العقد واإقفال احل ضاب اخلا ص بالعميل فى اأى وقت ووفقا لتقديرها املطلق ومن ثم اإخطار العميل بذلك كتابيا اأو بوا ضطة الربيد اللكرتونى خالل (10) ع ضرة ايام من تاريخ انهاء العقد. كما يقر العميل باأنه يدرك ويعلم انه عند اإنهاء التفاقية ميكن أان ينق ضى بع ص الوقت حتى يتم حتويل الوراق املالية املوجودة فى ح ضاب التداول بالن ضبة لل ضركات املدرجه فى بور ضة الكويت لالأوراق املالية. اأما فيما يتعلق بالوراق املالية املوجودة فى ح ضاب التداول بالن ضبة لل ضركات املدرجه خارج دولة الكويت فاإن العميل يقر باأنه يحق لل ضركة جتميد ح ضابه بحيث يكون باإمكان العميل فقط بيع هذه الوراق املالية و ضحب املبالغ النقدية املح ضلة من البيع وذلك اىل ان يتم بيع كل هذه الوراق املاليه و ضحب كامل املبالغ النقدية واإقفال احل ضاب وذلك بعد خ ضم كافة الر ضوم وامل ضاريف والنفقات واملبالغ امل ضتحقة لل ضركة إا ضافه اىل أية ايه مطالبات مالية اأوغرامات تتكبدها ال ضركة نتيجة تعليمات العميل. كما يقر العميل باأن ال ضركة لن تكون م ضوؤولة عن أية ايه خ ضائر اأو اأ ضرار اأو مطالبات أو او إلنهاء ال ضركة الشركة لهذا العقد وحتويلالواراق األوراق فر ص مفقودة قد يتكبدها العميل نتيجة املالية املاليه أو او جتميد احل ضاب واإقفال ح ضاب العميل لديه. 2-7 الت سفية : :يحق لل ضركة للشركة -) يف حالة اإخالل العميل باأي من التزاماته إلتزاماته الواردة يف هذه االتفاقية ( وح ضب قرارها املطلق ودون اإ ضعار م ضبق للعميل باأخطار بإخطار اأي بور ضة اأو ضوق اأخرى للقيام ب إاغالق وت ضفية احل ضاب واإنهاء اأي اإتفاقية مع العميل وبيع اأ ضوله وكذلك اإلغاء اأي اأوامر اأو عقود قائمة اأو اأوراق مالية اأخرى ولن يكون العميل بعد قادرا على التو ضل إاىل النظام. ذلك يجب اأن يتوفر يف احل ضاب النقد الكايف واأن يكون جاهز للدفع فورا اإىل ال ضركة والتي ضتقوم ب ضكل تلقائي بت ضوية جميع احل ضابات واملعامالت واأي ح ضاب يبقي بعد ال ضرتداد الكامل من قبل ال ضركة حلقوقها يجب ا ضتعادته من قبل العميل الذي يكون م ضئول اأمام ال ضركة عن قيمة جميع امل ضاريف القانونية واملهنية الأخرى. 2
8. Governing Law; Language; Dispute Resolution 8.1 This Agreement shall be governed by, and construed in all respects in accordance with, the laws of Kuwait and does not contradict with Islamic Sharia. 8.2 This Agreement is made in the Arabic language with a translation into English. In case of any dispute over the interpretation of the Agreement, the Arabic version shall prevail. 8.3 In case any dispute arises from interpreting or executing this Agreement, both parties should cooperate to resolve the dispute. III. Option to change classification Clients initially classified as professional clients are allowed to request that they be treated as ordinary customers by submitting a written request to the company. The client who is classified as a professional client is solely responsible for requesting classification as an ordinary client when he is not in a position to assess and manage the risks involved in transactions accurately. The company is entitled to change the client s classification from a qualified professional to a regular client if the client loses the criteria for classification. In this regard, the company informs its clients of their rights related to changing their classification and the consequences thereof. The change in classification does not affect the actions and processes that have been classified in a certain manner. The Company reserves the right to reject any of the above requests for a different classification.
